Non-Disclosure Agreement (NDA)

Effective Date: January 1, 2025

This Non-Disclosure Agreement ("Agreement") is entered into as of the date of consultation request submission ("Effective Date") by and between A3INFOSEC LLC ("Disclosing Party"), a California-based cybersecurity consulting firm, and the party engaging with A3INFOSEC through its website ("Receiving Party").

1. Confidential Information

"Confidential Information" refers to all non-public, proprietary, or sensitive data disclosed by the Disclosing Party to the Receiving Party in any form—written, verbal, electronic, or visual. This includes but is not limited to:

  • Business plans, assessments, strategies, frameworks, and methodologies

  • Technical tools, source code, infrastructure details, and architecture

  • Client data, pricing, internal documentation, and third-party assessments

  • Any data explicitly or implicitly marked as confidential

2. Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available without breach of this Agreement

  • Was lawfully known by the Receiving Party before disclosure

  • Is independently developed without reference to Confidential Information

  • Is lawfully disclosed by a third party without restriction

3. Receiving Party Obligations

The Receiving Party agrees to:

  • Protect Confidential Information with the same degree of care as its own, and no less than a reasonable standard

  • Not disclose Confidential Information to any third party without written authorization

  • Use the Confidential Information solely for evaluating or pursuing a business relationship with A3INFOSEC

4. Permitted Disclosure

Disclosure may occur if required by law, subpoena, or court order. In such cases, the Receiving Party must promptly notify the Disclosing Party and cooperate in seeking protective measures.

5. Term and Termination

This Agreement remains effective for three (3) years from the Effective Date unless earlier terminated in writing. Upon termination or written request, all Confidential Information must be returned or permanently destroyed.

6. No License

This Agreement does not grant any rights, title, or interest in the Confidential Information or any intellectual property of the Disclosing Party.

7. No Warranty

Confidential Information is provided "as is" without warranties, including accuracy, completeness, or fitness for a specific purpose.

8. Remedies

Unauthorized disclosure may result in irreparable harm. The Disclosing Party reserves the right to seek injunctive relief and pursue all available legal remedies.

9. Miscellaneous

  • Governing Law: This Agreement is governed by the laws of the State of California, without regard to its conflict of laws principles.

  • Entire Agreement: This is the full agreement regarding confidentiality and supersedes prior communications.

  • Amendments: Must be in writing and signed by both parties.

  • Severability: If any provision is found unenforceable, the remainder will continue in effect.

By submitting a consultation request through the A3INFOSEC website, you acknowledge and agree to the terms above.
